General

These terms of use ( "Terms of Use" ) govern your use of the E-zie application ( "E-zie" ). Before using E-zie in any way, you are kindly requested to read these Terms of Use and the Privacy Statement to read carefully.

By using the E-zie application, you expressly agree to the Terms of Use. If, when reading the Terms of Use, you do not agree with its content, please do not continue to use E-zie.

The E-zie application is operated by DigitalHQ, a bv, registered under 0694.926.608 ( "DigitalHQ" ).

Purpose and content of the E-zie application

The E-zie application aims to simplify and clarify the services in DigitalHQ. An integration of all relevant services and information of a particular user in one application benefits all actors involved (being the employers / customers, the employees, third parties and the staff) in the use of DigitalHQ.

Use of the E-zie application

The use of the E-zie application is free.

You may only use the content on the E-zie application for the purposes permitted by DigitalHQ. Any other use, disclosure and / or reproduction of the information and data offered on the E-zie without the prior written consent of DigitalHQ is prohibited and constitutes a violation of these Terms of Use, and any other legal provisions in this regard.

Following uses of the E-zie application are - among other things - prohibited:

- Use for commercial purposes for the benefit of third parties, except when written approval has been obtained from DigitalHQ;

- The use for purposes the content of which is contrary to public order or morality, is discriminatory, insulting, defamatory or offensive or otherwise infringes the rights of others;

- Displaying the information provided on the E-zie application in a manner other than that made available to you by DigitalHQ. You may not edit, communicate to the public, or exploit the information in any way, or assist others in doing so as an intermediary or otherwise, except where written approval has been obtained from DigitalHQ;

- You are not entitled to "mirror" material from the E-zie application on another server or application without the prior written consent of DigitalHQ. The use of the content on any other application or in a computer network environment for any purpose is prohibited without express written permission from DigitalHQ;

- The use of software or any automated system to obtain information from the E-zie application (" screen scraping ") is prohibited. E-zie reserves the right to take any action it deems necessary in case of violation of this prohibition;

- The E-zie application use it in such a way that it is affected or damaged, for example by uploading / uploading computer viruses or other harmful files or by circumventing technical protection and security measures that must, among other things, protect the integrity and confidentiality of the data offered on the E-zie application .

Disclaimer of Warranties and Limitation of Liability

The E-zie application is offered to you " as is ". DigitalHQ does not guarantee that the E-zie application will be available at all times and does not guarantee that the application will function properly at all times, in accordance with your expectations or without errors. If a problem occurs, you can report it in the manner indicated below ( see article 7). However, DigitalHQ does not guarantee that all reported errors will be resolved.

DigitalHQ has the right at all times to adjust the E-zie application in whole or in part or to adjust the functionalities of the application or to add or remove functionalities. Use of the application after such modification, addition or removal will always be subject to these Terms of Use.

You understand and agree that, except in cases where the law does not allow to exclude liability, DigitalHQ in no case and under no circumstances (regardless of the gravity of the error) in a direct or indirect, general or special way be liable for any direct or indirect damage, including, damage resulting from lost profits, loss of data, business loss, business interruption, loss of business opportunity, or any other commercial damage or loss arising out of (i) your use of the application or the inability to use the application, (ii) any changes to the application or the discontinuation of the application, (iii) the removal, corruption or failure of the storage of content and other data being tracked or sent through the use of the application or (iv) force majeure.

You agree to fully indemnify and hold DigitalHQ harmless against any claims from third parties, including, but not limited to, reasonable judicial and extrajudicial and administrative costs arising out of or in connection with any violation of these Terms of Use.

Accounts

To use the E-zie application as a retailer, you must first create an account. You are responsible for any use of your username and password. You agree not to pass on your username and password to any third party. You understand and agree that DigitalHQ cannot be held liable for the consequences of the unlawful and unauthorized use of the application through the use of your username and password.

You agree to provide true, accurate, current and complete information in the registration process. You agree that you will not impersonate or misrepresent your identity or your relationship to any other person, group or entity, or use anyone else's username neither his password, nor other account information, nor the name of another person, his image or photo, nor will you abuse any resemblance to another person. You also declare that you will inform us ( see article 7) immediately notify you of any unauthorized use of your username, password or other account information, or of any other form of security breach that you encounter that relates to the E-zie application.

You may not use the E-zie application for illegal or unauthorized purposes, including any activity that causes damage to the operation of the application or that interferes with the use of the application or any action that affects the name and / or reputation of DigitalHQ or its affiliated companies (as listed not restrictively under Article 3). You are responsible for all actions that occur through your account.

DigitalHQ will be entitled to terminate your account without notice in the event of non-compliance with these Terms of Use or in the event of any misuse of the E-zie application.

Intellectual Property

DigitalHQ retains all intellectual property rights in and to the E-zie application. Any reproduction, public communication or re-use of the application or any part thereof, i.e. including - but not limited to - the text, images, codes, interface elements, information, images, video files and sound files contained therein, in any way whatsoever , is prohibited except with the express, written and prior consent of DigitalHQ.

Amendments

DigitalHQ always reserves the right to change these Terms of Use. The latest version is always available on the E-zie application. You are responsible for regularly reviewing and keeping the latest version of the applicable Terms of Use.

These Terms of Use were last amended and revised on 03/30/2021.

Applicable law and competent courts

These Terms of Use are subject to Belgian law and must be interpreted as such.

In the event of a dispute, only the courts in Ghent are competent.
